1. Acceptance of Terms

By accessing or using SetTracker (“Service”), a product of Set Tracker Inc. (“Company”, “we”, “us”, or “our”), you agree to be bound by these Terms of Use (“Terms”). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that entity.

2. Description of Services

Set Tracker provides software and services for safety, compliance, workforce visibility, and operational intelligence across industrial job sites including construction, mining, and oil & gas.

3. Eligibility

To use Set Tracker, you must be at least 18 years of age and legally authorized to enter into a binding agreement. Your use must comply with all applicable laws and regulations.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access.

5. License and Restrictions

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You may not:

• Reverse engineer or decompile any part of the Service

• Use the Service for unlawful or abusive purposes

• Resell or sublicense the Service to third parties without written consent

6. Payment and Billing

All fees are detailed in your Subscription Agreement. Late payments may result in account suspension. We reserve the right to revise pricing with 30 days’ notice.

7. Termination

We may suspend or terminate your access to the Service at our sole discretion, including for violation of these Terms. You may terminate at any time, but no refunds will be issued for unused periods.

8. Intellectual Property

All content, features, and functionality (including code, visuals, workflows) are owned by Set Tracker Inc. or our licensors and are protected by copyright, trademark, and other laws.

9. Confidentiality

You agree to maintain the confidentiality of any proprietary or confidential information disclosed during your use of the Service.

10. Data and Compliance

You retain ownership of your data. We process and store data in accordance with our Privacy Policy. You are responsible for complying with all laws and safety regulations related to your use of the Service.

11. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages. Our total liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14. Modifications

We reserve the right to change these Terms at any time. Continued use after changes means you accept the updated Terms.
